Reference is made to the Company’s announcements dated 16 March 2023, 17 March 2023, 14 April 2023, 17 April 2023, 3 May 2023, 26 May 2023, 7 June 2023 and 14 June 2023 in relation to the Proposed Placement (“Announcements”).

Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those previously defined in the Announcements.

On behalf of the Board, Mercury Securities wishes to announce that all Conditions in relation to the Proposed Placement have been fulfilled on 15 June 2023 (“CP Fulfilment Date”). Following the CP Fulfilment Date, the Subscription Period has commenced on 15 June 2023.

Following thereto, the Company had on 15 June 2023 received 2 Subscription Notices from Macquarie Bank for the subscription of 1,100,000 Placement Shares (“Tranche 1 Placement Shares”) and 900,000 Placement Shares (“Tranche 2 Placement Shares”) at the issue price of RM2.605 per Placement Share.

The Company had on 15 June 2023 allotted Tranche 1 Placement Shares to Macquarie Bank and the Tranche 1 Placement Shares are expected to be listed on the Main Market of Bursa Securities on 19 June 2023.

The Tranche 2 Placement Shares are expected to be allotted on 16 June 2023 and listed on the Main Market of Bursa Securities on 20 June 2023.
