The Board of Directors of Pertama Digital Berhad (“PDB” or “Company”) hereby announces that the Company is unable to release to Bursa Malaysia Securities Berhad (“Bursa Securities”) and shareholders its Annual Report 2021 that includes the annual audited financial statements together with the auditors’ and directors’ reports in respect of the financial period ended 31 December 2021 (collectively referred to as “Annual Report 2021”) by 30 April 2022, which is a period not exceeding four (4) months from the close of the financial year ended 31 December 2021 (“Timeframe”) as required under Paragraph 9.23(1) of the Main Market Listing Requirements (“MMLR”) of Bursa Securities.

The delay in the issuance of the Annual Report 2021 is due to delay in completion of audit by the External Auditors for the financial statements for the 18 months financial period ended 31 December 2021 caused by the following:

1. the sudden lock down in Shanghai that led to difficulties/delay in audit and finalisation of audit for the business segment in China; and
2. the human resource deficiency in the finance department of the respective business units that had caused the delay in finalising financial statements of the respective business units leading to the delay in finalising the consolidation of financial statements on Group basis for audit purpose. 

The above had resulted in the delay in finalising the group consolidated figures for audit that had directly caused delay in the finalisation of audit by the External Auditors.  

The Management is actively finalising the audited financial statements with the External Auditors in order to complete the audited financial statement and issue the Annual Report 2021 within the next five (5) market days, no later than 11 May 2022.

Pursuant to Paragraph 9.28(5) of the MMLR, if PDB fails to announce/issue its Annual Report 2021 within 5 market days from the expiry of the Timeframe (the last day of these 5 market days shall hereinafter be referred to as the "Suspension Deadline"), in addition to any enforcement action that Bursa Securities may take, Bursa Securities shall suspend trading in the securities of PDB.

The suspension shall be effected on the market day following the expiry of the Suspension Deadline and shall be uplifted on the market day following the announcement/issuance of the Annual Report 2021 unless otherwise determined by Bursa Securities. As such, the suspension will be effected on 12 May 2022.

Pursuant to Paragraph 9.28(6) of the MMLR, if PDB fails to announce/issue the Annual Report 2021 within 6 months from the expiry of the Timeframe, in addition to any enforcement action that Bursa Securities may take, de-listing procedures shall be commenced against PDB.
